OUR SERVICES

We teach people how to buy and sell medical commodities. Accordingly, you acknowledge that you shall purchase the commodities for educational purposes knowing that you will have to do the work not us.

You further acknowledge that you base your purchasing decision on the fact that they want to learn more about the industry and not necessarily for profit.

ELIGIBILITY

This is a contract between you the Client and Boxflippers.com; You must read and agree to these terms before using the service.  You may use the service only if you can form a binding contract with Boxflippers.com and only in compliance with this Agreement and all applicable local, state, national laws, rules, and regulations.

OUR PROPRIETARY RIGHTS

Boxflippers.com alone shall own all right, title and interest, including all related Intellectual Property Rights, in and to our Services, including the educational material that is being taught.

Our Agreement is not a sale and does not convey to you any rights of ownership in or related to our services, or the Intellectual Property Rights owned by Boxflippers.com. Accordingly, you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from any of our content. Use of the Boxflippers.com content for any purpose not expressly permitted by this agreement is strictly prohibited.

The service, Boxflippers.com Name and logo are the exclusive property of Boxflippers.com.

Boxflippers.com shall own all rights, title, and interest to any suggestions, ideas, enhancement requests, feedback, recommendations, or other information provided by you or any other party relating to our services. Accordingly, you may choose to, or we may invite you to submit comments or ideas about Boxflippers.com services, including without limitation about how to improve our services or our ideas. By submitting any idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place Boxflippers.com under any fiduciary or other obligation, and that we are free to use the idea without any additional compensation to you, and/or to disclose the idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of your submission, Boxflippers.com does not waive any rights to use similar or related ideas previously known to Boxflippers.com or developed by its employees or obtained from sources other than you.

PRIVACY

We care about the privacy of our Clients. You understand that by using our services, you consent to the collection, use and disclosure of your personally identifiable information and will only be used to identify what the Client needs are to the service providers. By using our services, you agree to be bound by the terms in our Privacy Policy.

GROUP CALLS

If you book a call with us, you must be present for the call on time. You further acknowledge that the call can be in a group setting with others participating in the call.

You agree that the call will not exceed thirty (30) minutes.

NO REFUND

We shall offer no refund for any payment you make to us for any of our services. You acknowledge that your payment is final. We therefore encourage you to be careful before making any payment.

SECURITY

Boxflippers.com cares about the integrity and security of your personal information. We cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

INDEMNIFICATION AND RELEASE

You agree to release, defend, indemnify, and hold Boxflippers.com and its associates and their respective officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your violation of these Terms.

 NO WARRANTY

THE SERVICE IS PROVIDED ON YOUR REQUEST. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM boxflippers.com OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. WITHOUT LIMITING THE FOREGOING, boxflippers.com DOES NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; THAT ANY REQUESTS WILL BE MET SATISFACTORILY OR AT ALL.  

SOME OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION AND LIMITATIONS OF CERTAIN IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. THIS AGREEMENT GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION. THE DISCLAIMERS AND EXCLUSIONS UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL boxflippers.com AND ITS EMPLOYEES, BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE. NOTABLY, WE ARE NOT LIABLE FOR ANYTHING THAT HAPPENS TO YOU WHILE IN THE FIELD AND PRACTICING THE BUSINESS (BASICALLY BUYING AND SELLING THE COMMODITIES).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, boxflippers.com ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF REQUESTS OR CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE.

NOTICES

You consent to receiving notice(s) from Boxflippers.com. Any notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you legal notice by mail to the address as set forth in your account. In such case, notice shall be deemed given three days after the date of mailing.

ENTIRE AGREEMENT

These Terms of Use, Service Agreement, and other agreements, rules, and policies incorporated by reference to these Terms including, without limitation, the Privacy Policy, constitutes the entire agreement between you and Boxflippers.com. It supersedes any prior negotiations, discussions, or agreements, whether written or oral, between you and Boxflippers.com regarding the subject matter contained in these Terms of Use.

SEVERABILITY

If any portion of these terms is found to be void or unenforceable, it shall be struck from the record, and the remaining provisions will retain their full force and effect.

WAIVER

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.

 

 

GOVERNING LAW

These Terms of Use and the relationship between you and Boxflippers.com will be governed by the laws of the state of Maryland, USA, notwithstanding the choice of law provisions of the venue where any action is brought, where the violation occurred, where you may be located or any other jurisdiction.

You agrees and consent to the exclusive jurisdiction of the state or federal courts located in state of Maryland, USA and waive any defense of lack of personal jurisdiction or improper venue or forum to a claim brought in such court, Boxflippers.com will elect, in its sole discretion, to litigate the action in their county and state where Boxflippers.com is located.   

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out or related to your use of the service or these Terms of Use shall be filed within one (1) year after such claim or cause of action and no later.
